Podstawa prawna: Plaza Centers N.V. ("Plaza" or the "Company") announces today, further to its previous announcements dated July 9, 2021, July 12, 2021 and July 14, 2021, regarding G.C Hevron Capital Ltd's proposal ("Hevron Capital's Proposal) and its announcement dated July 27, 2021, regarding L.I.A Pure Capital Ltd's proposal ("L.I.A's Proposal); that the Company received an additional proposal from Zero One Capital Ltd ("Zero One" and "Zero One's Proposal", respectively) to preserve the Company's existing assets in favor of the Company's bondholders and other interested persons and simultaneously to enable to flow new activity.

Zero One's Proposal is attached as an appendix to this announcement.

It shall be clarified that the Company has summoned a bondholders meeting, on August 1, 2021 at 13:30, in order to discuss the proposals and receive the Company's bondholders position regarding these proposals.

. ראובן יגאנה - רקע כללי

1.1

מר יגאנה הינו איש עסקים מוכר ופעיל בשוק ההון בישראל. ראובן, ביחד עם שותפים, קנה את

השלד דיירקט קפיטל )כעת קנאשור( ושימש בחברה יו״ר פעיל והוביל את המיזוג עם קנאשור.

כמו כן עשה את עיסקת שפע ימים )שלד שהפך לנלה דגיטל(. מר יגאנה אף כיהן כיו״ר חברת

פנטזי נטוורק.

1.2

מר יגאנה הינו בעל תואר ראשון בכלכ לה וניהול ובעל רישיון )מותלה( לניהול השקעות. הוא

מספק שירותי ייעוץ למשקיעים כשירים בשוק ההון בישראל ובארה"ב.

1.3

למר יגאנה יכולות ניהוליות, פיננסיות ואחרות הדרושות להוציא לפעול את הצעתו זו.

. תמצית ההצעה

2.1

ההצעה המובאת להלן נועדה מחד לשמר את הנכסים הקיימים בחברה לטובת בעלי האג"ח ושאר

בעלי האינטרסים בחברה ו לאפשר הזרמה של פעילות חדשה לשם מיקסום שווי האינטרסים של

כלל בעלי הזכויות החברה .

. פרטי ההצעה:

3.1

הקצאת מניות למר יגאנה

בכפוף להסדר נושים באישור ביהמ"ש במסגרתו החברה תופטר מכל התחייבויותיה וכן זכויותיה

ונכסיה יועברו לידי קופת ההסדר לטובת הנושים )לרבות הסכום שיועבר עפ"י הצעתנו זו( ובכפוף

לאישורים מכל רשות ו/או גורם רלבנטי מחוץ לישראל, החברה תקצה למציע ו/או לגוף מטעמו

74.99% מהון המניות של החברה וזאת כנגד השקעה של 4,000,000 ש"ח בחברה שיירשמו

בספריה כהלוואת בעלים ואשר ישמשו לפרעון חובות החברה לנושיה. מניות נוספות תוקצינה

לנושי החברה, אשר היקפן ייקבע במו"מ ביחד עם בעלי המניות הנוכחיים - כך שסך ההחזקה של

הנושים ושל בעלי המניות הנוכחיים לא תעלה על 25.1% .

3.2

לבעלי המניות הנותרים תינתן זכות למכור את מניותיהם )אופציית PUT ( למר יגאנה וזאת

בתקופה של 12-24 חודשים לאחר השלמת ההסדר תמורת 5,000,000 מש"ח.

3.3

רוב נכסי החברה, למעט הזכויות בקשר לנכס Radio Casa ברומניה, יועברו לקופת ההסדר

וישמשו לפרעון התחייבויות החברה. תקבולים עתידיים ממימוש הזכויות בקשר לנכס המוחרג

יועברו, עם קבלתם, אף הם לקופת ההסדר בניכוי הוצאות ישירות שתוציא החברה בקשר

למימוש הזכויות בנכס ובניכוי 7% מהתקבולים.

3.4

החברה, בניהול המציע, תעסיק אנשי מקצוע על מנת להשלים את התהליך האמור - ולרבות

קבלת האישורים הנדרשים מהגורמים הרלבנטיים בחו"ל. למציע יש את הניסיון והיכולת

המקצועית לפעול להשלמת התהליך.

3.5

בכוונת המציע לפעול למיזוג פעילות לחברה כך ששווי החברה הממוזגת לא יפחת מ- 120 מש"ח

לאחר המיזוג.

4 . תנאים מתלים לעסקה:

4.1

4.1 אישור המתווה ע"י האורגנים המוסמכים של הצדדים.

4.2

4.2 השלמת הסדר נושים באישור ביהמ"ש וכן אישור הרשות לניי"ע והבורסות בהן נסחרות מניות

החברה להסדר ולעסקה המוצעת.

5 . הצעה זו תעמוד בתוקף למשך 30 יום. מרגע התקשרות הצדדים עפ"י מזכר עקרונות זה ודיווחו לציבור,

הצדדים יתחייבו ל- NO SHOP הדדי לשם השלמת העסקה.

Re: Proposal to Plaza Centers N.V. (hereinafter - the "Company")

Our company has been hired by Mr. Reuven Yagana (hereinafter - the "Offeror"), and we hereby approach you in his name as follows:

1. Reuven Yagana - General Background

1.1 Mr. Yagana is a well-known businessman, active on the Israel capital market. Together with his partners, Mr. Yagana purchased the shell company Direct Capital (now Canashor), serving as acting chairman of the company and leading the merger with Canashor. Furthermore, he executed the Shefa Yamim transaction (a shell which became Nala Digital). Mr. Yagana also served as chairman of Fantasy Network.

1.2 Mr. Yagana holds a B.A. in economics and management and holds an (inactive) investments management license. He provides consulting services to competent investors on the Israel and the U.S. capital markets.

1.3 Mr. Yagana possesses management, financial and other capabilities which are required to execute this proposal.

2. Summary of the Proposal

2.1 The proposal presented here is designed, on the one hand, to preserve the Company's existing assets in favor of bondholders and other interested persons and, on the other, to enable the flow of new activity in order to maximize the value of the interests of all holders of the Company's rights.

3. Particulars of the Proposal

3.1 Allotment of Shares to Mr. Yagana

Subject to a creditors' settlement, ratified by the court, under which the Company is exempt from all its obligations, as well as transferring its rights and assets to the settlement's account in favor of the creditors (including the amount to be transferred under this proposal) and subject to any approval or ratification required by any regulator or agency outside of Israel, the Company shall

allot to the Offeror and/or to an entity on his behalf 74.99% of the Company's share capital, against investment of NIS 4,000,000 in the Company, to be recorded in its books as an owner's loan, and to serve for repayment of the Company's debts to its creditors. Additional shares shall be allotted to the Company's creditors, the scope of which will be determined in negotiations with the present shareholders - so that the total holdings of both creditors and present shareholders does not exceed 25.1%.

3.2 The remaining shareholders shall be given the right to sell their shares (PUT option) to Mr. Yagana, within a 12-24-month period after the completion of the process, for NIS 5,000,000.

3.3 The majority of the Company's assets, excluding those connected with Radio Casa in Romania, shall be transferred to the settlement account, and shall serve to pay the Company's obligations. Future receivables from exercise of rights connected with the excluded asset shall also be transferred upon receipt to the settlement account, after deducting the expenses paid in connection with those receivables and 7% of the receivables.

3.4 The Company, managed by the Offeror, will employ service providers in order to complete the required process - including the needed approval from regulators and agencies outside of Israel. The Offeror possesses the experience and capabilities which are required to complete this process.

3.5 The Offeror intends to act to merge operations for the Company, so that the value of the merged company shall be no less than NIS 120 million after the merger.

4. Suspending Conditions for the Transaction

4.1 Approval of the proposal by the parties' competent organs.

4.2 Completion of the creditors' settlement with court verification, as well as ratification of the settlement and the proposed transaction by the Securities Authority and the Stock Exchanges on which the Company's shares are traded.

5. This proposal shall remain in effect for 30 days. As soon as the parties engage under this memorandum of principles and it is reported to the public, the parties shall undertake a mutual NO SHOP in order to complete the deal.

6. We shall be pleased to be at your service regarding anything that may be required to clarify and promote this proposal.
